These terms govern the website. Every production, event, workshop, or creative engagement requires its own agreed project terms.

1. Acceptance Of These Terms

These Terms of Service (“Terms”) govern your access to and use of the Lily Coe Entertainment website. By accessing or using this website, you agree to these Terms. If you do not agree, please do not use the website.

In these Terms, “Lily Coe Entertainment”, “we”, “us”, and “our” refer to Lily Coe Entertainment, and “you” means the person accessing or using the website.

2. Website Purpose

This website provides general information about our film, multimedia, creative direction, post-production, workshop, and event activities. Website content is not a binding offer, production commitment, quotation, professional advice, or guarantee of availability or results.

3. Project Inquiries And Agreements

Submitting an inquiry does not create a client relationship, partnership, employment relationship, confidentiality obligation, or contract. We may accept or decline an inquiry at our discretion and may require additional information before discussing a project.

Production work, event participation, workshops, ticketing, licensing, casting, or other paid services will be governed by a separate written proposal, booking terms, release, licence, or services agreement. If those project-specific terms conflict with these Terms, the project-specific terms prevail for that engagement.

4. Unsolicited Submissions

Do not submit an unsolicited screenplay, treatment, concept, pitch deck, footage, music, or other creative material through the general inquiry form. We may already be developing similar ideas, and receipt of an inquiry does not create a duty to review, keep confidential, compensate, return, or use any submitted material.

Creative materials should be provided only after we have expressly agreed in writing to receive them and any necessary confidentiality or submission terms have been settled.

5. Intellectual Property

Unless stated otherwise, the website and its text, design, graphics, logos, photographs, video, audio, artwork, layout, and other content are owned by or licensed to Lily Coe Entertainment and are protected by intellectual property laws. Third-party names, posters, logos, and materials remain the property of their respective owners.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and view the website for lawful personal or internal business purposes. You must not reproduce, adapt, distribute, publish, commercially exploit, scrape, frame, remove rights notices from, or create derivative works from website content without prior written permission or another lawful basis.

We may modify, suspend, withdraw, or restrict any part of the website without notice. We do not guarantee uninterrupted access or that the website will always be secure or free from errors or harmful components.

8. Third-Party Websites And Services

Links to external websites, social platforms, ticketing services, venues, partners, or other providers are supplied for convenience. We do not control or endorse their content, availability, security, privacy practices, products, or services. Your use of a third-party service is governed by its own terms.

Our Privacy Policy explains how we handle personal information and forms part of these Terms. Please do not submit another person's information unless you are authorised to do so.

10. Liability And Statutory Rights

Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, including any applicable rights under the Fair Trading Act 1986 or Consumer Guarantees Act 1993.

To the maximum extent permitted by law, Lily Coe Entertainment and its personnel will not be liable for indirect, consequential, incidental, special, or economic loss arising from your use of, inability to use, or reliance on this website or linked third-party services. Where liability cannot be excluded, it will be limited only to the extent permitted by applicable law.

Any liability connected with paid production or event services will be governed by the relevant project-specific agreement and applicable law.

11. Indemnity

To the extent permitted by law, you agree to indemnify Lily Coe Entertainment against loss, liability, damage, and reasonable costs arising from your unlawful use of the website, your infringement of another person's rights, or content you submit in breach of these Terms. This clause does not apply to the extent that the loss was caused by us.

13. Governing Law

These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the New Zealand courts, subject to any mandatory rights you may have under applicable law.

If any part of these Terms is found invalid or unenforceable, that part will be read down or severed to the minimum extent necessary and the remaining Terms will continue. A delay in enforcing a right is not a waiver of that right. These Terms do not create an agency, partnership, joint venture, fiduciary, or employment relationship.
